Terms of Service

Happen AI is a trade name of Abhishek Paul, a sole proprietorship registered in India (GST and Udyam Aadhaar registered; registration details available on request). References to "Happen AI," "we," "us," or "our" mean this sole proprietorship.
1. Acceptance of Terms
By creating an account or installing the Desktop app or purchasing a pack, you agree to these Terms. If you do not agree, do not use our services.
"Services" means: the Happen Desktop app, the Hub marketplace (hub.happen-ai.com), the pack distribution system, and the happen-ai.com website.
Note: The .hpk format spec (Happen-Ai/hpk-spec) is separately licensed under MIT. These Terms do not govern use of the open spec itself.
2. Description of Services
Happen AI provides software tools for creating, managing, and running AI agent workspaces. The Desktop app is a local application. We do not host your agents or see their outputs. The Hub marketplace lets users purchase and manage pack licenses.
Packs are pre-built AI agent configurations. Each is sold individually at its own one-time price (some are free), governed by the Pack License (linked from purchase confirmation and available at /legal/license).
The seller of record is Abhishek Paul, trading as Happen AI. Razorpay is our payment gateway and processes payments on our behalf; it is not the seller or merchant of record. By making a purchase, you also agree to Razorpay's terms for the payment transaction.
3. Account Registration and Eligibility
- You must be 18 or older to create an account. By registering, you represent you are at least 18.
- You must provide accurate and complete information.
- You are responsible for all activity under your account.
- One account per person; do not share your account credentials.
- We may suspend or terminate accounts that violate these Terms.
4. User Responsibilities
You agree to use the Services only for lawful purposes. You will not use Happen AI packs or the Desktop app to:
- Generate content that is illegal in your jurisdiction
- Harass, threaten, or impersonate others
- Build systems that impersonate humans without disclosure (see EU AI Act compliance)
- Circumvent security measures of any third-party service
- Violate any third-party intellectual property rights
You are responsible for your use of any AI outputs generated using Happen AI tools. You are responsible for complying with all applicable laws in your use of the software, including data protection laws if you process personal data of others using an agent.
5. Intellectual Property
- Our IP: The Happen Desktop app (source code), Hub platform, pre-built pack contents (prompts, workflows, starter files), and the "Happen Pack," ".hpk," and "Happen AI" marks are owned by Abhishek Paul (trading as Happen AI).
- Open spec: Only the
.hpkformat spec (Happen-Ai/hpk-spec) is open source, under the MIT License — you may freely use, modify, and distribute the spec itself under its terms. - Proprietary software: The Happen runtime, Desktop app, Hub, and backend are proprietary. All rights reserved. They are not open source and may not be copied, modified, reverse-engineered, or redistributed except as expressly permitted in writing.
- Your IP: You own any prompts, content, or configurations you create yourself using our tools. We claim no ownership over your original work.
- Pack license: Pre-built packs you obtain are licensed under the Pack License. Each pack is bought once at its own price (some are free). You do not own the pack — you receive a license to use it.
- Feedback: If you provide feedback, bug reports, or suggestions, you grant us a perpetual, royalty-free license to use that feedback without restriction or attribution.
6. Payment Terms
- Prices are listed in INR and are inclusive of applicable Indian taxes (including GST) where required.
- One-time pack purchases: charged at time of purchase. License delivered on payment confirmation.
- Cloud subscriptions (Try, Pro, High-Volume): charged monthly in advance. Subscription begins on payment. The Desktop app and local workspaces are free.
- Payments are processed through Razorpay, our payment gateway. The seller is Abhishek Paul (trading as Happen AI); Razorpay is not the merchant of record. We do not store or see your full card details.
- Tax invoices, where applicable, are issued by Abhishek Paul (trading as Happen AI).
- Refunds: per our Refund Policy at
/legal/refunds(14 days, conditions apply).
For material subscription price changes, we will give you at least 30 days notice by email before the change takes effect.
7. Termination
- You may terminate your account at any time via hub.happen-ai.com account settings or by emailing
legal@happen-ai.com. - We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or at our discretion with 30 days notice for non-violation terminations.
- On termination: your account data will be deleted per the data retention schedule in the Privacy Policy. Pack licenses are not refunded unless within the 14-day window.
- Software you have already downloaded and installed (Desktop app) may continue to function in local mode — we do not disable already-installed software. Pack licenses deactivate on license revocation.
8. Limitation of Liability
- Services are provided "as is" without warranty of any kind.
- We do not warrant that the app will be error-free, secure, or available at all times.
- AI outputs are generated by third-party models (Anthropic Claude, OpenAI, etc.). We make no representations about the accuracy or reliability of AI outputs.
- Liability cap: Our total liability to you for any claim arising out of these Terms shall not exceed the amount you paid to Happen AI in the 12 months preceding the claim.
- No consequential damages: In no event shall we be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits or data.
- Some jurisdictions do not allow exclusion of implied warranties or consequential damages. In those jurisdictions, liability is limited to the extent permitted by law.
9. Indemnification
- You agree to indemnify and hold Happen AI harmless from any third-party claim arising from your use of the Services in violation of these Terms or applicable law.
- We agree to indemnify you from any third-party claim arising from our Services infringing a third party's intellectual property rights (excluding claims arising from your modifications).
10. Governing Law and Dispute Resolution
- These Terms are governed by the laws of India.
- Disputes between us shall first be attempted to be resolved through informal negotiation (30 days).
- If negotiation fails, disputes shall be submitted to binding arbitration in Bengaluru, India under the Arbitration and Conciliation Act 1996 (India).
- Exception for small claims: Nothing prevents either party from bringing a claim in a small claims court of competent jurisdiction.
- Nothing in this clause prevents injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.
- EU/UK users: Nothing in this clause restricts your rights under mandatory EU/UK consumer protection law, including the right to seek redress in your local courts for consumer claims.
11. Updates to Terms
- We may update these Terms from time to time.
- For material changes, we will notify you by email to your registered address at least 30 days before the changes take effect.
- Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
- If you do not agree to the changes, you may terminate your account before the effective date.
12. Miscellaneous
- Entire agreement: These Terms, the Privacy Policy, and applicable EULA(s) constitute the entire agreement between you and Happen AI.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- No waiver: Failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.
- Force majeure: Neither party is liable for delay or failure due to events beyond reasonable control.
